By accessing, browsing, or using this Website, you confirm that you have read, understood, and agree to adhere to these Terms and Conditions. If you do not agree, your access to the Website and use of Services is prohibited.

By creating an account, subscribing, completing checkout, making a purchase, or otherwise buying any product or service from Ofye Group, you expressly agree to these Terms, including the age and legal-capacity requirements in Section 2.

This version adds the terms for monthly subscriptions, payment in USDC, linked wallets, the Member Chat rooms, and the OFYE Credits referral programme. Memberships purchased as one-time payments before this version remain honored as described in Section 10.

These Terms constitute a complete and exclusive agreement between you ("you," "your," or "Subscriber") and Ofye Group, a brand operated by Foye LLC ("Company," "we," "our," or "us"). They supersede all prior communications, understandings, or agreements, whether written or oral, regarding the subject matter.

You must be at least 18 years of age or the age of legal majority in your jurisdiction, whichever is higher, to access or use the Website, Services, community features, subscriptions, one-time purchases, or any paid or unpaid Ofye Group offering.

By accessing the Website, creating an account, joining a community, subscribing, completing checkout, or making any purchase, you represent and warrant that you meet this age requirement, have the legal capacity to enter into binding agreements, and are legally permitted to use and purchase the Services in your jurisdiction.

You agree that use of the Website or Services by anyone who does not meet these eligibility requirements is prohibited, and that you will not assist underage or otherwise ineligible persons in gaining access to the Website, Services, paid products, subscriptions, or communities.

We grant you a limited, non-exclusive, non-transferable, revocable license to use and access the Website solely for its intended purposes and in compliance with this Agreement. You understand that your access does not transfer ownership or intellectual property rights to you. This license can be revoked at any time for violations of these Terms.

All intellectual property rights in the Website, including but not limited to text, designs, trademarks, graphics, images, software, and other materials, are the exclusive property of Foye LLC or its licensors. Any use, reproduction, duplication, distribution, or modification of intellectual property without prior written consent is strictly prohibited.

You may view or print portions of the Website for personal, non-commercial use, but you may not copy, reproduce, distribute, or create derivative works from the Website or its content without express written permission from us.

Your use of the Website is also governed by our Privacy Policy, which explains how we collect, handle, and protect your personal information. By agreeing to these Terms, you confirm that you have read and understood the Privacy Policy and that you consent to our collection and use of your information as described therein.

You agree not to engage in any of the following prohibited activities while using the Website or Services:

• Publishing, transmitting, or sharing any content from the Website in external media without prior written authorization from Foye LLC

• Attempting to interfere with or compromise the functionality, integrity, or availability of the Website

• Using the Website for unlawful activities or in violation of any applicable laws and regulations

• Uploading malicious code, spyware, or engaging in data scraping, phishing, or any fraudulent activity

• Misusing our intellectual property or otherwise infringing upon the intellectual property or proprietary rights of others

• Impersonating brands, businesses, individuals, or Ofye Group staff, or misrepresenting yourself in any interaction on the Website

• Engaging in fictitious business practices to solicit money or information from other users without proper authority or qualifications

• Engaging in any activity that could endanger a user's health, life, or safety

• Any conduct that Foye LLC, in its sole and absolute discretion, considers harmful, disruptive, or contrary to the spirit of our platform and community

We advise users to report phishing attempts or suspicious activities involving the impersonation of Ofye Group to appropriate authorities, such as the Federal Trade Commission (FTC) at 1-877-382-4357 or through ftc.gov.

If you submit, upload, or publish any content, including but not limited to text, images, or comments ("Subscriber Content") on the Website or community platform, you grant us a non-exclusive, irrevocable, royalty-free license to display, use, reproduce, and distribute such content in connection with the operation of the Website and Services.

You agree not to post content that is defamatory, obscene, offensive, or otherwise unlawful. Foye LLC reserves the right to remove or modify any Subscriber Content at its sole discretion, without warning or notification.

Community moderators and members may post both real and hypothetical trades and real, simulated, or hypothetical returns for informational and educational purposes only. All commentary is opinion and ideas only and does not constitute any recommendation whatsoever. You should not rely on such opinions and ideas, which may not be complete or accurate.

All services, products, and content provided by Ofye Group, including signals, alerts, and community discussions, are for informational and educational purposes only. None of the information constitutes, or is intended to constitute, a recommendation of any particular security or trading strategy.

Foye LLC, operating as Ofye Group, is NOT registered as an investment professional or financial advisor with the U.S. Securities and Exchange Commission (SEC), FINRA, FCA, ASIC, or any other regulatory authority. This is not investment or financial advice.

You are solely responsible for your own financial decisions. Always conduct independent research and consult with licensed professionals where necessary. Ofye Group does not promise or advertise specific returns on investments. Users agree to assume all associated risks and are solely responsible for their own gains or losses.

If you create an account on the Website, you are responsible for safeguarding your login credentials and for any actions that occur under your account. You agree to notify us immediately at store.ofye@gmail.com of any unauthorized access to your account.

The security of your account and any associated data remains your responsibility. Foye LLC is not liable for any unauthorized access or breach of security resulting from your failure to maintain the confidentiality of your credentials.

10.1 Membership Tiers – Ofye Group offers paid membership tiers (currently OFYE Scout, OFYE Elite, OFYE Whale and OFYE Black). Each tier includes the content, tools and Member Chat rooms for its level and every level below it. The features and prices of each tier are shown on ofye.org and may change with reasonable notice to existing Subscribers; a price change never applies to a billing period you have already paid for.

10.2 Monthly Subscriptions by Card – Membership tiers are sold as monthly subscriptions and are billed monthly in USD. When you subscribe by card, your subscription renews automatically at the end of each billing period and the then-current price for your tier is charged to the payment method on file until you cancel. Card payments are processed by Stripe; we do not store your full card details. You authorize us and Stripe to charge your payment method for each renewal.

10.3 Cancellation – You may cancel your subscription at any time from your account page. Cancellation stops future renewals; your access continues until the end of the current billing period you have already paid for, and no partial-period refund or credit is given.

10.4 Payment in USDC – Where offered, a membership may instead be paid for with USDC on the Base network through a wallet you control. Each USDC payment buys a prepaid period of 30 days of the selected tier. A USDC period does not renew automatically: to keep your access you pay again before the period ends, which adds 30 days to it. If you do not pay again, your access ends when the period runs out and nothing further is charged. We may send you reminders before a period ends.

10.5 One Tier per Account – You may hold one membership tier at a time. Paying for a higher tier moves your account to that tier (by card, the price difference is handled at checkout; by USDC, a new 30-day period starts on the higher tier). You cannot hold a card subscription and a USDC period at the same time; cancel one before starting the other.

10.6 Failed and Missed Payments – If a renewal payment fails, Stripe may retry it and we will notify you at your account email. Access ends three (3) days after the payment was due unless a retry succeeds; retries do not extend that period. If all retries fail, the subscription is cancelled. A missed USDC payment simply lets the prepaid period run out.

10.7 Memberships Purchased Before the Switch to Monthly Billing – If you purchased a membership tier as a one-time payment before memberships became monthly subscriptions, that purchase was previously honored as a permanent membership. From the date memberships became monthly, it instead gives you 30 days of access to the tier you bought at no charge. To keep access after those 30 days you subscribe like every other member; if you do not, your access ends when the 30 days run out. If you subscribe during the 30 days and that subscription later ends, any days remaining of the free period are restored, and nothing beyond that.

10.8 Purchase Eligibility Acknowledgement – By subscribing, completing checkout or making any payment, you confirm that you are at least 18 years old or the age of legal majority in your jurisdiction, whichever is higher, and that you agree to the eligibility clause in Section 2.

10.9 Taxes – All prices are stated in USD. You are responsible for any taxes that apply to your purchase, which may be added at checkout where required by law.

11.1 What Credits Are – OFYE Credits are a promotional reward with no cash value. Credits cannot be transferred, sold, exchanged, withdrawn, or redeemed for money or cryptocurrency, and they are not a deposit, balance, security or token of any kind. Credits exist only as an entry on your Ofye Group account.

11.2 Earning Credits – Every member receives a personal referral link and code. When a person who has never held an Ofye Group membership signs up through your link or code and completes their first paid membership payment, you earn credits equal to the amount of that first payment, whatever tier they choose. Any mix of referred tiers counts and adds up. Only a referee's first payment earns credits; renewals, later purchases and payments made with credits earn nothing.

11.3 Hold Period – Credits are pending until the referred payment has cleared: 30 days for card payments of $100 or less, 120 days for larger card payments, and 7 days for USDC payments. If the referred payment is refunded, disputed, or charged back, the credits it earned are removed, including after they have been spent, in which case your credit balance may become negative and you cannot redeem until new credits repay it.

11.4 Redeeming Credits – Credits buy tier access: 30 days of any membership tier at that tier's monthly price in credits (one credit per dollar). No paid membership is required. A tier you already pay for, or any tier below it, is already included and cannot be bought with credits; if you hold a paid membership it keeps billing. One credit month runs at a time: buying the same tier again adds 30 days to it, and a different tier can be bought once it ends. OFYE Black members may instead apply credits to their own bill at half value, up to half of one monthly payment. Credits never reduce the price of a paid membership in any other way.

11.5 Expiry and Changes – Credits expire twelve (12) months after they become available. We may change, suspend or end the referral programme, adjust how credits are earned or redeemed, or correct balances that were issued in error, at any time, with notice where the change affects credits you have already earned.

11.6 Fair Use – Self-referral (referring yourself, an account you control, or an account paid for with your own card or wallet), buying or selling referrals, spamming or misleading people to obtain referrals, and claiming an existing member as a referral are prohibited. We may void credits, cancel credit months and suspend accounts involved in such conduct. Referrers are shown only counts and statuses of their referrals, never the identity of the people they referred.

12.1 Linking a Wallet – You may link a cryptocurrency wallet to your account through Privy, either by connecting a wallet you already control or by creating an embedded wallet with your email. Linking is optional and free. A wallet is linked only after it signs a verification message issued by us; that signature never moves funds. Ofye Group never receives, stores or has access to your private keys, seed phrase or recovery phrase, and cannot recover a wallet for you. A wallet can be linked to one account at a time.

12.2 On-Chain Payments – USDC payments are sent by you, from your wallet, to the Ofye Group treasury address shown at checkout, on the Base network. Blockchain transactions are irreversible. You are responsible for sending the correct asset (USDC), on the correct network (Base), in the correct amount, and for any network fees. Payments sent to the wrong address, on the wrong network, in the wrong asset, or in an insufficient amount may be lost and are not recoverable by us. Access is granted only after we have independently verified the transaction on-chain.

12.3 Funding Through Third Parties – Any option to buy USDC with a card inside the wallet flow is provided by third parties (for example Privy's funding partners) under their own terms. Funding your wallet is not a payment to Ofye Group and does not by itself activate a membership.

12.4 Risks – Cryptocurrency and blockchain networks carry technical and market risks, including network congestion, failed transactions and changes in value. You accept these risks when you choose to pay in USDC.

13.1 Tier Rooms – Each membership tier includes private Member Chat rooms for that tier and every tier below it. Access is derived from your active membership (or a running credit month) and ends when it ends. Rooms are for members' discussion of markets, education and community matters.

13.2 What Others See – Other members see your first name (or a neutral label) and your messages; they never see your email, full name, wallet or account details through the chat. Hosts and moderators may delete messages, pin content, mute or remove members, set rooms to hosts-only posting, and apply slow mode, and every such action is logged.

13.3 Conduct – Section 6 (Prohibited Activities) and Section 7 (User-Generated Content) apply to everything you post in Member Chat. Posting other members' personal information, harassment, impersonating staff, solicitation, and sharing content from the rooms outside Ofye Group without permission are prohibited. Section 8 applies to every trade, idea or opinion shared in the rooms: nothing in Member Chat is financial advice.

Ofye Group may feature partner platforms, such as Bitunix, and share referral codes or links for them. These platforms are operated by third parties under their own terms, which you accept directly with them. Ofye Group may receive a referral benefit when you use such a code or link. We do not operate, control, or guarantee any partner platform, and trading on any platform involves risk of loss.

Ofye Group may allow users to save an optional phone number on their account to help maintain accurate contact information.

If you choose to verify a phone number in your account settings, you are responsible for entering a number you control and safeguarding access to that phone number.

Phone verification is optional, is not required to browse the website or make a purchase, and can be updated again from your account settings if you retain access to your account.

ALL SALES ARE FINAL. Under no circumstances, including but not limited to dissatisfaction with trading signal performance, outcomes, unused time in a billing period, a change of mind, or any other reason, are payments refundable after the purchase of a subscription, a prepaid USDC period, a one-time purchase, or any other service offered by Ofye Group. Cancelling a subscription stops future renewals; it does not refund the current period. By making a payment, the Subscriber acknowledges and agrees that all payments are final.

You agree not to dispute or initiate a chargeback for a payment you authorized. If a payment is disputed or charged back, we may suspend or terminate the account's access, remove any OFYE Credits the payment earned, and pursue recovery of the disputed amount and any associated fees to the fullest extent permitted by law.

The Website and Services are provided "as is" and "as available" without any warranties of any kind, whether express or implied. We do not guarantee that the Website will meet your expectations or be error-free, uninterrupted, or secure.

We expressly disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of information.

To the fullest extent permitted by law, Foye LLC, its members, officers, employees, affiliates, and agents will not be liable for any indirect, incidental, special, or consequential damages arising out of or related to your access, use, or inability to use the Website or Services, errors or inaccuracies in content, unauthorized access to our servers or personal data, or trading losses.

The Website may display links to third-party websites or content for your convenience. We do not endorse, monitor, or control third-party content, and Foye LLC disclaims all liability for harms arising from your interaction with third-party services.

We reserve the right to modify, suspend, or discontinue any part of the Website or Services without advanced notice. We are not liable if our Website or Services become unavailable or if features are changed, suspended, or terminated.

You agree to indemnify and hold Foye LLC, its members, officers, employees, and affiliates harmless from any claims, damages, liabilities, costs, or expenses arising from your violation of these Terms, your use or misuse of the Website or Services, your infringement of any third-party rights, or any trading decisions you make based on content or signals from this platform.

You may stop using the Website or Services at any time. We may terminate or suspend your account or access immediately, with or without cause, and without notice, if we determine you have violated these Terms or engaged in prohibited activities.

Upon termination, your right to access the Website, use the Services, and any associated licenses will cease immediately. Terminated accounts are not entitled to refunds of any prepaid subscription fees.

These Terms and Conditions shall be governed by and construed in accordance with the laws of the United States, without regard to conflict-of-law principles. Any disputes arising from this Agreement shall be resolved exclusively within the courts of competent jurisdiction in the United States.

In the event of any dispute arising out of or relating to these Terms or your use of the platform, the parties agree to first attempt to resolve the dispute informally by contacting us at store.ofye@gmail.com. If informal resolution is unsuccessful, disputes shall be resolved exclusively through binding arbitration or in a court of competent jurisdiction in the United States.

These Terms constitute the entire agreement between you and Foye LLC regarding your use of the Website and Services. No other agreements, written or oral, are binding unless expressly stated in this Agreement.

We reserve the right to modify these Terms at any time. When we do, we will update the Effective Date at the top of this document. We will notify Subscribers of material changes via email or direct communication through the platform. Continued use of the Website after changes are posted constitutes your acceptance of the revised Terms.
